BUSINESS TERMS
Terms for organizational and enterprise use
Effective: August 20, 2026. These Business Terms apply when an organization purchases, pilots or otherwise receives access to MediaBrain business or enterprise services from WESTCAST-24, LLC.
1. Orders and scope
Commercial scope, fees, users, usage limits, support level, retention commitments and any special security terms are defined in the applicable Order Form or written commercial agreement.
2. Customer administration
The customer controls authorized users and is responsible for assigning access appropriately, maintaining user lifecycle processes and protecting credentials. Workspace administrators may manage users, roles, content and settings.
3. Customer content ownership
As between the parties, customer retains its rights in Customer Content. MediaBrain processes Customer Content only to provide, secure, support and improve the contracted service as permitted by the agreement, applicable configuration and law.
4. No cross-tenant use of raw private content
Raw private documents from one customer are not intended to be exposed to or used as another customer's private knowledge source.
5. Shared anonymized precedent
If a customer enables or contractually permits benchmark/precedent participation, only derived material that passes the applicable anonymization, aggregation and anti-reidentification controls may enter the shared precedent layer. MediaBrain's default shared-precedent policy excludes raw documents, customer identity, source document IDs and direct identifiers, and requires sufficient cross-customer support before publication to the shared layer.
6. Security
MediaBrain will maintain reasonable technical and organizational safeguards appropriate to the nature of the Services. Current published commitments appear at Security. Customer remains responsible for its own endpoints, user access and lawful configuration.
7. Data processing
Where MediaBrain processes personal data on behalf of Customer, the Data Processing Addendum applies to the extent required by applicable data-protection law.
8. Subprocessors
MediaBrain may use subprocessors to deliver hosting, AI, database, authentication, email, analytics, search and security functionality. Current production subprocessors and relevant functions are published at Subprocessors.
9. Service changes and beta features
MediaBrain may update the Service, provided changes do not materially reduce the core functionality of a paid service during a committed term without a commercially reasonable alternative. Preview and beta features may change or be discontinued.
10. Fees, taxes and suspension
Customer will pay fees stated in the Order Form and applicable taxes. MediaBrain may suspend access for overdue undisputed amounts, material security risk or material breach after reasonable notice where practicable.
11. Confidentiality
Each party will protect the other party's confidential information using at least reasonable care and use it only to perform or receive the Services, subject to standard exceptions for information that is public, independently developed, rightfully received or required to be disclosed by law.
12. Warranties and disclaimers
Each party warrants it has authority to enter the agreement. Except as expressly stated, the Services are provided subject to the disclaimers in the applicable agreement. AI output is decision support and may require professional review.
13. Liability
Enterprise liability caps and exclusions should be stated in the Order Form or negotiated agreement. If no separate commercial agreement specifies a cap, the general Terms of Use apply to the extent permitted by law.
14. Term and termination
Term, renewal and termination rights are defined in the Order Form. Upon termination, access ends and Customer Content is handled according to the applicable retention/deletion commitments and legal requirements.
15. Governing law
Unless otherwise agreed in writing or required by mandatory law, Florida law governs these Business Terms.
